1. Acceptance of Terms

By creating an account, booking a demo, or otherwise accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a school, institution or other organisation, you represent that you have the authority to bind that organisation, and "you" refers to that organisation.

2. The Service

SchoolDesk is a WhatsApp-first school communication and operations platform that helps educational institutions manage admissions and enquiry follow-up, parent communication, fee collection and receipts, staff task management, academic reporting and related operations. Features may be added, modified or removed from time to time.

3. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. The Service is intended for schools, preschools, coaching institutes, educational trusts and similar institutions and their authorised staff.

4. Accounts & Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current and complete information and to keep it updated. Notify us promptly of any unauthorised use of your account.

5. Acceptable Use

You agree not to use the Service to:

• send spam, unsolicited or unlawful messages, or violate any applicable communication or data-protection laws;
• upload or transmit content that is unlawful, harmful, defamatory, infringing or otherwise objectionable;
• impersonate any person or entity or misrepresent your affiliation;
• attempt to gain unauthorised access to, interfere with, or disrupt the Service or its infrastructure;
• use the Service in a manner that violates the WhatsApp Business Messaging Policy or Meta's terms.

You are solely responsible for the content of messages and data you send through the Service and for obtaining all necessary consents from recipients (including parents and guardians).

6. WhatsApp & Third-Party Services

The Service relies on the WhatsApp Business Platform provided by Meta Platforms, Inc. and its affiliates, as well as other third-party providers (such as payment gateways and cloud hosting). Your use of WhatsApp through the Service is additionally subject to WhatsApp's and Meta's applicable terms and policies. We are not responsible for the availability, performance or policies of these third-party services, and any changes they make may affect the Service.

7. Fees, Payments & Receipts

Fees for the Service, and any fee-collection or payment-facilitation features made available to your institution, are as agreed between you and SchoolDesk. Where the Service facilitates fee collection from parents, payments are processed by third-party payment processors, and you are responsible for the accuracy of the amounts, receipts and records generated. All fees are exclusive of applicable taxes unless stated otherwise.

8. Intellectual Property

The Service, including the SchoolDesk name, logo, software, design and content (excluding your data and content), is owned by SchoolDesk and protected by applicable intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain ownership of the data and content you submit, and grant us the rights necessary to operate and provide the Service.

9. Data & Privacy

Our collection and use of personal information is described in our Privacy Policy. Where we process personal data of parents, students or staff on your behalf, you act as the data controller and we act as a processor, and you are responsible for having a lawful basis and necessary consents for that processing.

10. Availability & Changes

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend or discontinue all or part of the Service, and may update these Terms, at any time. Material changes will be notified through the Service or our website, and continued use after changes take effect constitutes acceptance.

11. Disclaimers

The Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.

12. Limitation of Liability

To the maximum extent permitted by applicable law, SchoolDesk shall not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of data, revenue or profits, arising out of or related to your use of the Service. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you to us for the Service in the three (3) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless SchoolDesk and its proprietor, employees and agents from any claims, damages, losses and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these Terms or applicable law, including any failure to obtain required consents from message recipients.

14. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or if required for legal, security or operational reasons. Upon termination, your right to use the Service ceases; provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability and governing law) will continue to apply.

15. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to any applicable law, the courts at Rajkot, Gujarat shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Service.
